The contract gap: why a signed deal can still cost your consulting firm money
A practical guide to improving efficiency, reducing risk, and gaining visibility in consulting contract management. For Legal and Legal Operations teams at consulting firms with 50 to 2,000 employees.
Keeping negotiated terms connected to delivery
A consulting client relationship may span an MSA, multiple SOWs, separate confidentiality arrangements and successive amendments. For Legal, Sales, Finance and delivery teams, the challenge is maintaining a shared, reliable view of the agreed position as new engagements begin, terms are negotiated and responsibility for the relationship changes hands.
Where agreements are managed across email threads, shared drives and individual records, that view can be difficult to maintain. The documents may all exist, while the links between them, the status of negotiated exceptions and the current terms remain difficult for the wider organisation to establish.
The review question. Can Legal establish the governing terms, agreed departures and current amendments for a client engagement from the contract record, without relying on the people involved in the original negotiation?
Four structural problems that create risk
Agreements are not connected to each other
A client relationship typically generates multiple agreements over time, often stored separately with no clear link between them. A project lead working on a third SOW may have no reliable way to check the terms of the original master agreement. SOWs accumulate and drift: rates shift slightly from one engagement to the next, and scope boundaries evolve without formal documentation.
Visibility depends on individuals
Without a structured contract repository, knowledge about client agreements is distributed across the people who drafted or negotiated them. That dependence becomes visible when someone leaves or a long-standing client relationship changes hands, and retrieving the current position depends on knowing which inbox, folder or colleague holds it.
Renewals and obligations are tracked informally
Renewal windows, termination notice periods and ongoing obligations are often managed through separate calendars, spreadsheets or individual records. A missed renewal window can mean an agreement rolls over on terms that are no longer appropriate. A missed termination notice can leave the firm committed to an engagement it intended to exit.
Approval and sign-off processes are inconsistent
Who can approve a new SOW? When does Legal need to be involved? In many consulting firms the answers are informal, role-dependent and inconsistently applied. Either approvals happen without appropriate oversight, or they stall because the process is unclear.
The business impact of unstructured agreements
These gaps affect Legal's workload, Sales' ability to progress new work, Finance's visibility into pricing and billing, and delivery teams' understanding of their commitments.
Unclear scope leads to unbilled work
Work delivered beyond the original scope without a signed amendment can be difficult to invoice.
Client handovers expose gaps
A new relationship owner may need Legal and Finance to reconstruct the agreed position before making commitments.
Pricing cannot keep pace with costs
If pricing terms and indexation provisions cannot be reviewed across the portfolio, price reviews are delayed or applied inconsistently.

A practical checklist for consulting firms
These questions can help identify where existing controls depend on manual follow-up, individual knowledge or information held outside the contract record.
Is there a clear record of which SOWs are active under each master agreement?
Is there a clear view of which agreements are expiring in the next 90 days?
Is there a documented policy for who can approve new SOWs, amendments and extensions?
If a key relationship manager left tomorrow, could their replacement find everything they need to manage the client?
If your legal team improved a standard clause today, would you know which existing client agreements still carry the old version?
The full checklist, with all fifteen questions, is in the guide.

How Lexnus helps consulting firms
Lexnus brings drafting, contract analysis, approved clause management and contract information management together in a policy-driven CLM. Legal publishes the standards used for drafting and review, giving teams a consistent basis for handling routine terms and identifying exceptions.
When a client sends its own MSA or changes a SOW, Contract Analysis helps identify policy matches, gaps and deviations. AI helps interpret the content, while a deterministic rule engine assesses it against Legal-approved rules. Legal can focus its attention on exceptions instead of repeatedly reviewing the same routine terms.
Lexnus can use existing templates and historical contracts to propose an initial playbook for Legal to review, adjust and publish. It is built on EU sovereign infrastructure.
