Upload a PDF or Word document. Lexnus accepts counterparty paper, internally drafted contracts, AI-generated drafts, and contracts pulled from your repository. No formatting requirements.

Lexnus selects the right playbook

Based on the contract type detected in the document, Lexnus selects the matching playbook automatically. If your organisation has playbooks for NDAs, MSAs, and employment agreements, Lexnus identifies which applies. You confirm before analysis runs.

The AI model interprets the contract

The AI model reads the contract and extracts structured values from natural language text: liability caps, notice periods, governing law, payment terms, termination conditions, and any other fields referenced in your playbook rules. This step converts unstructured legal text into structured data.

The playbook evaluates

Each rule in the playbook receives the extracted values and evaluates deterministically. This is rule evaluation, not AI judgement. "Aggregate liability must not exceed 1.5x ACV" either passes or fails based on the extracted cap value. Every rule produces one of three outcomes:

  • Violation — The contract contains language that breaks this rule. The specific text is identified.
  • Gap — The contract is missing a clause or term this rule requires.
  • Pass — The rule is satisfied.

Results are presented with context

The analysis result shows every rule outcome, the specific contract text that triggered each violation, and the approved clause or fix for each issue. A compliance score summarises the overall result. The GC or lawyer reviews the flagged items, not the entire contract.

How accurate is the analysis?

Accuracy depends on the quality of your playbook rules and the clarity of the contract text. For standard commercial terms such as liability caps, notice periods, governing law, and payment terms, extraction and evaluation is highly reliable. Unusual drafting or ambiguous language is flagged as Unknown rather than producing a false positive or negative.

Is the analysis AI-driven or rule-based?

Both. The AI model handles the interpretation step: reading contract text and extracting structured values. The playbook handles evaluation: applying your rules to those values deterministically. The AI can make interpretation errors on unusual language; the rules themselves are exact. Policy enforcement is not probabilistic. A rule that says "cap must not exceed $1M" will not sometimes decide $1.2M passes.

Does Lexnus replace legal review?

No. Lexnus eliminates manual review of standard, rule-governed issues. It does not replace lawyer judgement on novel situations, unusual drafting, or strategic negotiation decisions. Lawyers get back the time they spend on things that don't require judgement, so they can focus on the things that do.

What happens after analysis identifies violations?

Depending on your playbook configuration, violations can trigger notifications, route to an approver, or block the contract from progressing. The analysis result includes the approved fix for each violation: the approved clause from your library, ready to insert.

Can I run analysis on AI-generated contracts?

Yes. If a lawyer uses ChatGPT, Copilot, or any other AI tool to draft a contract, uploading the result to Lexnus subjects it to the same analysis as any other contract. AI drafts fast, Lexnus checks compliance.
